Remuneration policy

In order to achieve the business goals of the Company, Fourthline has a remuneration policy that enables the organization to recruit, retain and develop high-performing individuals in a competitive international labor market. As Fourthline is a payment institution, it is subject to amongst others the Dutch Financial Supervision Act (Wet op het financieel toezicht) and more specifically the Dutch Remuneration policy financial undertakings Act (Wet beloningsbeleid financiele ondernemingen) and the Dutch Further remuneration measures financial undertakings Act (Wet nadere beloningsmaatregelen financiele ondernemingen). Fourthline's remuneration policy focuses on the trade-off between fixed and variable remuneration, and its connection to business and legal requirements. It aims to ensure that Fourthline employees are not incentivized to take excessive risks that could endanger the soundness and continuity of the business.

The variable remuneration will only be paid or acquired if it is compatible with the financial situation of Fourthline and justifiable by the performance of Fourthline, the business unit and the concerned employee. If the variable remuneration of an employee is unacceptable with respect to the standards of reasonableness and fairness, Fourthline is allowed to reduce the amount of variable remuneration that was granted to an employee.

The remuneration of the Management Board members and Management Team members is determined and approved by the Supervisory Board of Fourthline B.V., upon proposal of the Remuneration Committee of the Supervisory Board. The remuneration of the rest of the employees is determined by the Management Board and Management Team in line with the applicable laws and regulations. In defining the variable remuneration, the Company takes into account both financial and non-financial criteria.

During 2023 designated individuals across the different divisions of the Company received a variable remuneration. No individuals received a (variable) remuneration exceeding one million euro.
